Governance Structure

The Fiscal Council is responsible for overseeing the actions of members of management and the fulfillment of their legal and statutory duties; protects the company’s interests; and performs the duties associated with its supervisory power according to the applicable legislation and its bylaws and its charter.

The Board of Directors is BNDES’s highest governing body, responsible for approving and monitoring the Bank’s business plan, as well as supervising and evaluating the management of the officers, performing the duties associated with its function according to the applicable legislation and its bylaws and the charter.

BNDES System’s Risk Committee, a permanent body, responsible for advising BNDES’ Board of Directors in the performance of its duties related to capital and risk management.
The Committee responds and reports its activities to the Board of Directors and serves BNDES as well as its subsidiaries.

The Audit Committee reports to the Board of Directors and advises it on matters of auditing, supervision and inspection.

The Board of Directors is BNDESPAR’s highest governing body, responsible for approving and monitoring the Bank’s business plan, as well as supervising and evaluating the management of the officers, performing the duties associated with its function according to the applicable legislation and its bylaws and the charter.

The Fiscal Council is in charge of examining and issuing opinions on the balance sheets and other financial statements, as well on the accounts rendered by BNDESPAR’s Board, besides exercising other responsibilities as set forth in the Corporations Act.

The Board of Directors is FINAME’s highest governing body, responsible for approving and monitoring the Bank’s business plan, as well as supervising and evaluating the management of the officers, performing the duties associated with its function according to the applicable legislation and its bylaws and the charter.

The Fiscal Council is in charge of examining and providing opinions on balance sheets and financial statements, as well as on the accounts rendered by Finame’s Board, besides exercising other responsibilities as set forth in Act Nº. 6,404, of December 15, 1976.
